1. Acceptance of Terms
By accessing or using the CoreSpade software, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, then you may not access the service.
2. License Use
CoreSpade grants you a personal, non-transferable license to use the software. You may not modify, distribute, or reverse-engineer the software.
3. Fair Play and Platform Compliance
CoreSpade is designed as a productivity and window-management tool. I make every reasonable effort to ensure CoreSpade complies with the latest Terms of Service of major poker platforms, and I will proactively remove unsupported rooms if they prohibit the software. However, poker site policies change frequently, and the ultimate responsibility for ensuring that your use of the software complies with the specific rules of the poker sites you play on rests entirely with you, the user.
Account Bans and Fund Seizures: Using any third-party software involves inherent risks. Under no circumstances shall CoreSpade or its developer be held liable or responsible for any account suspensions, bans, warnings, or the seizure of funds by any poker platform, even if the platform specifically cites CoreSpade as the reason for their action. You choose to use this software strictly at your own risk.
4. Subscriptions and Refunds
Subscription fees are billed on a recurring basis. You may cancel at any time. Due to the nature of digital goods, refunds are generally not provided after the free trial has been used, except where required by law.
5. Limitation of Liability and Disclaimer of Warranties
The software is provided "AS IS" and "AS AVAILABLE" without any warranties, expressed or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. I do not warrant that the software will be error-free or uninterrupted.
Financial Loss: In no event shall CoreSpade or its developer be liable for any direct, indirect, incidental, special, consequential, or punitive damages. This explicitly includes, but is not limited to, financial losses at the poker tables due to software malfunctions (e.g., misclicks, incorrect hotkey triggers, lag, or visual overlay errors), loss of data, or loss of profits arising out of the use or inability to use the software. Your total recourse in the event of dissatisfaction or provable failure of the software is limited exclusively to the cancellation of your subscription and a maximum refund of the amount paid for the current billing cycle.
6. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.
Jurisdiction: By using CoreSpade, you explicitly agree that any legal disputes, claims, or actions arising out of or related to these Terms or your use of the software shall be brought exclusively in the competent courts located in Germany. You consent to the exclusive jurisdiction of such courts.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in a class-action lawsuit against CoreSpade or its developer.
7. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
8. Indemnification
You agree to defend, indemnify, and hold harmless CoreSpade and its developer from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) resulting from your violation of these Terms or your use of the software, including, without limitation, your use of the software on third-party poker platforms.
9. Right to Terminate
I reserve the right to suspend or terminate your account and your access to the software at my sole discretion, at any time, and without notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms. Upon termination, your right to use the software will immediately cease.
10. Modifications to Software and Terms
I reserve the right to modify, suspend, or discontinue the software (or any features within it) at any time, with or without notice. I also reserve the right to update or change these Terms at any time. Your continued use of the software after any changes indicates your acceptance of the new Terms.
